4 0 0)17K -O(o <br />AMENDMENT 2 TO THE <br />PROFESSIONAL SERVICES AGREEMENT <br />BETMEN THE <br />CITY OF ELLENSBURG <br />AND <br />KITTITAS COUNTY CHAMBER OF COMMERCE <br />RELATING TO: Tourism Promotions Agreement <br />THIS SECOND AMENDMENT O THE January 1, 2017 AGREEMENT Is made and <br />entered into this j7= day of , 2018, by and between THI; <br />CITY OF ELLENSBURG (hereinafter tailed the °CITY`) and KITTITAS COUNTY CHAMBER <br />OF COMMERCE (hereinafter caped the 'CONSULTANT"). <br />WHEREAS, the CITY entered Into an AGREEMENT with the CONSULTANT on January <br />1, 2017, ("the AGREEMENT'); and <br />WHEREAS, the City entered No AMENDMENT 1 to the AGREEMENT with consultant on <br />March 6, 2018; and <br />WHEROAS, the CITY desires to amend the AGREEMENT to amend the Scope of Work <br />and Mexlmum Compensation; and <br />WHEREAS, Section CA of the AGREEMENT provides that the terms of the AGREEMENT <br />may be changed by execution of an amendment signed by the parties; <br />NOW, THEREFORE, In consideration of the above representations and the terms, <br />conditions, covenants, and agreements set fiorth below, the parties hereto agree is follows: <br />1 SCOPE OF WORK <br />Section A.1, cf the original AGREEMENT, as modified by Amendment 1, is further amended as <br />follows: <br />11 MAXIMUM COMPENSATION <br />Section 8.2 of the original AGREEMENT, as modified by Amendment 1, Is further amended to <br />Increase the amount of compensation stated in Exhibit A for budge year 2018 from <br />$482,660.00 to a maximum sum of $507,260.00, to account for the increased compensation <br />required for the additional Scope of Work as shown on Exhibit C. <br />Except as modified herein,. all other terms of the original AGREEMENT shall remain In effect. <br />11 ll ll <br />Amendment No, 2 to Chamber of Commerce Tourism Contract - Page 1 of 2 <br />
