ASO OPERATING AGREEMENT Page 9 of 33 <br /> <br /> <br /> <br />government, the other County Authorities, and from other public and private sources, <br />including gifts, for activities and purposes related to chapter 71.24 RCW; <br /> <br />5.3.4 Prepare and submit to HCA appropriate plans, both in length and <br />duration, for mental health services and behavioral health services in accordance with the <br />provisions of chapter 71.24 RCW and the ASO Act; <br /> <br />5.3.5. Employ or contract for staff and consultants to carry out the <br />responsibilities of this Agreement and the statutory requirements for an administrative <br />services organization. In doing so, the Executive Committee shall hire, give authority to, <br />evaluate, give direction to and terminate the ASO's administrator and employees <br />(collectively "GCBH Administrator") who shall administer the ASO's operations, services and <br />administration, including all hiring, development, approval and implementation of all policies <br />and procedures, service delivery plans and operating plans. The GCBH, LLC Administrator, <br />and all of its employees and administrators, shall be employees of the ASO and not of <br />individual County Authorities. <br /> <br />The GCBH, LLC Administrator, under the direction of the Executive <br />Committee, shall have the power and authority to: <br /> <br />(i) Prepare, review, modify and present to the Executive <br />Committee for approval the ASO's annual budget; <br /> <br />(ii) Execute contracts for the provision of services and operation of <br />the ASO, including leases for rental of real and personal property; <br /> <br />(iii) Take necessary and appropriate steps on behalf of the Executive <br />Committee to ensure the ASO's compliance with all statutory <br />and funding requirements; and <br /> <br />(iv) Take other actions as directed by the Executive Committee or <br />the County Authorities by their respective resolution or consent. <br /> <br />5.3.6 Spend the capital and revenues of the ASO in the furtherance of the <br />business of the ASO and the services it provides; <br /> <br />5.3.7 Acquire, improve, manage, lease, operate, sell, transfer, exchange, <br />encumber, pledge and dispose of any real or personal property of the ASO; <br /> <br />5.3.8 Purchase such liability, casualty, property and other insurance as the <br />Executive Committee, in its sole discretion, deems advisable to protect the ASO's assets against <br />loss or claims of any nature as required, and in such amounts as are contractually required; but, <br />the general liability and malpractice insurance coverage shall be not less than $5 million dollars <br />in the aggregate; provided, however, the ASO shall not be liable to the County Authorities, if <br />such coverage should prove inadequate. The ASO shall name each member county as an additional <br />insured and this coverage shall be the primary coverage in order to shield the governmental interests
