<br />Washington State <br />Health Care Authority Page 4 of 53 Contract # 2747 <br /> <br /> <br />Contract K2747 for ABCD Dental Services <br />Recitals <br />The state of Washington, acting by and through the Health Care Authority (HCA), is entering <br />into a contract that is exempt from procurement. <br />HCA has determined that entering into a contract with Kittitas County Public Health Network <br />in accordance with its authority under chapters 39.26 and 41.05 RCW. <br />HCA has determined that entering into a Contract with Kittitas County Public Health <br />Network will meet HCA’s needs and will be in the State’s best interest. <br />NOW THEREFORE, HCA awards to Kittitas County Public Health Network this Contract, <br />the terms and conditions of which will govern Contractor’s providing to HCA the services to <br />detect and prevent early childhood dental decay by engaging dentists in seeing birth to six (6) <br />year old Medicaid eligible children and engaging local public health departments or <br />organizations in outreach and case management. <br />IN CONSIDERATION of the mutual promises as set forth in this Contract, the parties agree as <br />follows: <br />1. STATEMENT OF WORK (SOW) <br />The Contractor will provide the services and staff as described in Schedule A: Statement of <br />Work. <br />2. DEFINITIONS <br />“Authorized Representative” means a person to whom signature authority has been <br />delegated in writing acting within the limits of his/her authority. <br />“Breach” means the unauthorized acquisition, access, use, or disclosure of Confidential <br />Information that compromises the security, confidentiality, or integrity of the Confidential <br />Information. <br />“Business Associate” means a Business Associate as defined in 45 CFR 160.103, who <br />performs or assists in the performance of an activity for or on behalf of HCA, a Covered Entity, <br />that involves the use or disclosure of protected health information (PHI). Any reference to <br />Business Associate in this DSA includes Business Associate’s employees, agents, officers, <br />Subcontractors, third party contractors, volunteers, or directors. <br />“Business Days and Hours” means Monday through Friday, 8:00 a.m. to 5:00 p.m., Pacific <br />Time, except for holidays observed by the state of Washington. <br />“Centers for Medicare and Medicaid Services” or “CMS” means the federal office under <br />the Secretary of the United States Department of Health and Human Services, responsible for <br />the Medicare and Medicaid programs.
