<br />Washington State <br />Health Care Authority Page 25 of 53 Contract # 2747 <br /> <br /> <br />4.37.2 Contractor is responsible for ensuring that all terms, conditions, assurances and <br />certifications set forth in this Contract are included in any subcontracts. <br />4.37.3 If at any time during the progress of the work HCA determines in its sole judgment <br />that any Subcontractor is incompetent or undesirable, HCA will notify Contractor, <br />and Contractor must take immediate steps to terminate the Subcontractor's <br />involvement in the work. <br />4.37.4 The rejection or approval by the HCA of any Subcontractor or the termination of a <br />Subcontractor will not relieve Contractor of any of its responsibilities under the <br />Contract, nor be the basis for additional charges to HCA. <br />4.37.5 HCA has no contractual obligations to any Subcontractor or vendor under contract <br />to the Contractor. Contractor is fully responsible for all contractual obligations, <br />financial or otherwise, to its Subcontractors. <br />4.38 SUBRECIPIENT <br />4.38.1 General <br />If the Contractor is a subrecipient (as defined in 45 CFR 75.2 and 2 CFR 200.93) <br />of federal awards, then the Contractor, in accordance with 2 CFR 200.501 and 45 <br />CFR 75.501, shall: <br />4.38.1.1 Maintain records that identify, in its accounts, all federal awards <br />received and expended and the federal programs under which <br />they were received, by Catalog of Federal Domestic Assistance <br />(CFDA) title and number, award number and year, name of the <br />federal agency, and name of the pass-through entity; <br />4.38.1.2 Maintain internal controls that provide reasonable assurance that <br />the Contractor is managing federal awards in compliance with <br />laws, regulations, and provisions of contracts or grant <br />agreements that could have a material effect on each of its <br />federal programs; <br />4.38.1.3 Prepare appropriate financial statements, including a schedule of <br />expenditures of federal awards; <br />4.38.1.4 Incorporate OMB Super Circular 2 CFR 200.501 and 45 CFR <br />75.501 audit requirements into all agreements between the <br />Contractor and its Subcontractors who are subrecipients; <br />4.38.1.5 Comply with any future amendments to OMB Super Circular 2 <br />CFR 200.501 and 45 CFR 75.501 and any successor or <br />replacement Circular or regulation; <br />4.38.1.6 Comply with the applicable requirements of OMB Super Circular <br />2 CFR 200.501 and 45 CFR 75.501and any future amendments
