o If the Contractor is subject to 2 CFR, Part 200, Subpart F, a copy of the <br />completed Single Audit is required and corrective action must be taken for <br />any audit finding, per 2 CFR, Part 200, Subpart F requirements. If the <br />Contractor is not subject to 2 CFR, Part 200, Subpart F, KCPHD shall <br />perform Contractor monitoring in compliance with federal requirements. <br />o Termination of this contract shall not be grounds for a fair hearing for the <br />service applicant or a grievance for the recipient if similar services are <br />immediately available in the County. <br />o In the event of termination of this contract, the Contractor shall provide all <br />requested data to KCPHD in order to ensure all prevention data on <br />services provided have been entered into the Substance Use Disorder <br />Prevention and Mental Health Promotion Online Reporting System also <br />called "Minerva". Final payments will be withheld until required Minerva <br />reporting is complete. <br />o Applicants and recipients of services shall be informed of their right to a <br />grievance in the case of denial or termination of service, or failure to act <br />upon a request for services with reasonable promptness. <br />o Permission shall be given for KCPHD to conduct on site visits or <br />inspections. KCPHD will conduct at least one on site visit annually to <br />monitor fiscal and programmatic compliance with performance criteria for <br />the purpose of documenting that the Contractor is fulfilling the <br />requirements of this agreement. <br />o Subcontractor is responsible for ensuring no conflicts of interests exist that <br />would interfere with the performance of its obligations under this <br />Agreement. Should a conflict arise, the Subcontractor must immediately <br />provide notice to the Contractor in writing. If a material conflict is <br />identified, the Contractor reserves the right to terminate this Agreement; <br />such termination of the Agreement shall be in writing and effective upon <br />the receipt of such notice by the Subcontractor. <br />o Contractor must comply with the HIPAA Business Associate Agreement <br />and Compliance as outlined in Exhibit D. <br />o Contractor must comply with the Data Security Requirements as outlined <br />in Exhibit E. <br />Professional Services Agreement <br />Page 16
