e'quivant <br />Caul LVrew Ju:..tlce Solutions Inc d/b/a equl'IJnt <br />SOFTWARE LICENSE AGREEMENT <br />. This Software License Agreement ("Agreement") is entered into as of the _ iJlth day of Rtf). , 20JE ("Effective Date") by and between CourtView Justice Solutions Inc. d/b/a <br />equivant, a Delaware corporation, with offices at 4825 Higbee Ave NW, Canton, OH 44718 <br />("equivant"), and Kittitas County Prosecutor's Office with offices at 205 West 5th Ave, Room 213, <br />Ellensburg, WA 98926 ("CUSTOMER"), and describes the terms and conditions pursuant to which <br />equivant shall license to CUSTOMER certain equivant Software (as defined below). <br />1. DEFINITIONS <br />a . "Confidential Information" means this Agreement and all its exhibits, any amendment <br />hereto signed by both parties, all software listings, Documentation, as defined herein <br />below, information, data, drawings, benchmark tests, specifications, trade secrets, object <br />code and machine-readable copies of the equivant Software, source code relating to the <br />equivant Software, and any other proprietary information supplied to CUSTOMER by <br />equivant, including all items defined as "confidential information" in any other agreement <br />between CUSTOMER and equivant whether executed prior to or after the date of this <br />Agreement. <br />b. "Documentation" means any instructions manuals or other materials, and on-line support <br />files regarding the Use of the equivant Software that is provided by equivant. <br />c. "equivant Software" means the computer software programs specified in Exhibit A and <br />licensed by equivant hereunder. <br />d. "Site" means the physical location of one or more CPUs at which CUSTOMER is entitled <br />to Use the equivant Software. <br />e. "Software" means equivant Software and Third Party Software provided by equivant. <br />f. "Software Maintenance", if purchased by CUSTOMER, means the services described in <br />the separate Maintenance Agreement. <br />g. "Third Party Software" means software licensed by a third party, other than equivant, and <br />is provided by equivant subject to such the license of such third party. <br />h. "Update" means error corrections or fixes to the version of the equivant Software specified <br />in Exhibit A. <br />i. "Use" means utilization of the Software by CUSTOMER for its own internal information <br />processing services and computing needs. <br />2. GRANT OF LICENSE <br />a. Upon receipt by equivant of the License Fee agreed to by the parties and subject to the <br />terms and conditions of this Agreement, equivant hereby grants to CUSTOMER a non- <br />exclusive, perpetual, limited, non-transferable license for the number of users specified in <br />Exhibit A ("Users") to: (1) Use the equivant Software in the CUSTOMER's database <br />Rev. 06022016 1 of 10
