GENERAL CONDITIONS 1. Scope of C ontraewr's S ervices: Contractor agrees to. provide to. the CDunty services and any materials set fDrth in the project narrative identified in Exhibit "A" during the Agreement periDd . No. material, labDr, or facilities will be furnished by the County, unless Dtherwise prDvided fDr in the Agreement. 2. Performance of W otk: CDntractor shall perfDrm work in accDrdance with, and shall comply with, all of the provisiDns Df this Agreement. All work shall comply with applicable cDdes, Drdinances ~nd the CDnsolidated CDntract (Exhibit D). 3. Schedule ofPerfonnanc e: Unless directed Dtherwise by the CDunty, ContractDr shall perfDrm the wDrk in accDrdance with any schedules made a part Dfthis Agreement. 4 . Definitions : 4.1 "AdditiDnal Insured's" means the CDunty, its succeSSDrs and assigns, and the respective directDrs, Dfficers, employees, agents and representatives Dfthe County and its successDrs and assigns. 4.2 "SUPPDrt" means the fDllDwing: CDntractDr's directDrs, Dfficers, emplDyees, agents and representatives; and sub-CDntractDrs Df any tier; the respective directDrs, Dfficers, emplDyees, agents and representatives Df these sub-CDntractDrs Df any tier; and any other person Dr entity acting under the directiDn Dr cDntrol Df, Dr Dn behalf Df, CDntractor Dr any Contractor's sub-CDntractors Df any tier in cDnnectiDn with Dr incident to' the perfDrmance Df the Work Dr this Agreement. 4.3 The "WDrk" means all of the duties listed in Exhibit A and the perfDrmance of all Dther DbligatiDns , under this Agreement by CDntractDr Dr its SUPPDrt . 5. Aecou ni ing and Payment f or C ontractor Services: Payment to' the CDntractDr fDr services rendered under this Agreement shall be as set fDrth in Exhibit "B". Where Exhibit "B" requires payments by the CDunty, payment shall be based upon billings, supported unless otherwise provided in Exhibit "B", by documentatiDn Dfunits DfwDrk actually perfDrmed and amDunts earned, including where apprDpriate, the actual number Df days wDrked each mDnth, total number of hours for the mDnth, and the total dDllar payment requested. Unless specifically stated in Exhibit "B" Dr approved in writing in advance by the Kittitas CDunty Board Df CDmmissiDners, the CDunty will nDt reimburse the CDntractDr fDr any CDStS or expenses incurred by the CDntractDr in perfDrmance Dfthis Agreement. Where required, the CDunty shall, upDn receipt Df appropriate dDcumentatiDn, cDmpensate the Contractor, no. mDre Dften than mDnthly, thrDugh the CDunty vDucher system, for the CDntractDr's service pursuant to' the fee schedule set forth in Exhibit "B". 6. Assignment and Subcont racting: No portiDn of this Agreement may be assigned Dr subcDntracted to any other individual, firm Dr entity withDut the express and prior written approval of the County.
