DocuSign Envelope ID: 78CDD188-656B-44E9-9F46-9AFBF222884F <br />3.36 SUBCONTRACTING <br />Neither the Contractor, nor any Subcontractors, shall enter into subcontracts for any of the <br />work contemplated under this Contract without prior writt~n approval of HCA. In no event <br />shall the existence of the subcontract operate to release or reduce the liability of the <br />Contractor to HCA for any breach in the performance of the Contractor's duties. <br />Additionally, the Contractor is responsible for ensuring that all terms, conditions, assurances <br />and certifications set forth in this Contract are included in any subcontracts. Contractor and <br />its subcontractors agree not to release, divulge, publish, transfer, sell or otherwise make <br />known to unauthorized persons confidential information without the express written consent <br />of HCA or as provided by law. <br />If, at any time during the progress of the work, the HCA determines in its sole judgment that <br />any subcontractor is incompetent or undesirable, the HCA shall notify the Contractor, and <br />the Contractor shall take immediate steps to terminate the subcontractor's involvement in the <br />work. <br />The rejection or approval by the HCA of any subcontractor or the termination of a <br />subcontractor shall not relieve the Contractor of any of its responsibilities under the Contract, <br />nor be the basis for additional charges to the HCA. <br />The HCA has no contractual obligations to any subcontractor or vendor under contract to the <br />Contractor. The Contractor is fully responsible for all contractual obligations, financial or <br />otherwise, to their subcontractors. <br />The Contractor is prohibited from entering into subrecipient subcontracts for the purpose of <br />participating in the MAC program. <br />3.37 SUBRECIPIENT <br />3.37.1 General <br />If the Contractor is a sub-recipient of federal awards as defined by Office of <br />Management and Budget (OMB) Circular A-133 and this Contract, the Contractor <br />shall: <br />3.37.1.1 Maintain records that identify, in its accounts, all federal awards received <br />and expended and the federal programs under which they were received, <br />by Catalog of Federal Domestic Assistance (CF.DA) title and number, <br />award number and year, name of the federal agency, and name of the <br />pass-through entity; <br />3.37.1.2 Maintain internal controls that provide reasonable assurance that the <br />Contractor is managing federal awards in compliance with laws, <br />regulations, and provisions of contracts or grant agreements that could <br />have a material effect on each of its federal programs; <br />3.37.1.3 Prepare appropriate financial statements, including a schedule of <br />expenditures of federal awards; <br />State of Washington <br />Health Care Authority <br />Page 17 of 42 HCA Contract No. K1407-1
