MEMORANDUM OF AGREEMENT <br />BETWEEN <br />NEW VISION (YAKIMA COUNTY DEVELOPMENT ASSOCIATION) <br />AND <br />YAKIMA VALLEY CONFERENCE OF GOVERNMENTS; YAKIMA BASIN JOINT <br />BOARD; BOB HALL (REPRESENTING PRIVATE BUSINESS); AND COUNTIES OF <br />BENTON, YAKIMA, AND KITTITAS <br />I. <br />This Memorandum of Agreement is made by and between New VisionIY akima County <br />Development Association, hereinafter referred to as the "YCDA" and the Y akima Valley <br />Conference of Governments (YVCOG), Yakima Basin Joint Board, Bob Hall (representing Private <br />Business), County of Benton, County of Yakima, and County of Kittitas, hereinafter referred to as <br />the "Participating Entities;" <br />11. <br />Once signed by all parties listed above, this document will serve as a Memorandum of <br />Agreement outlining the cooperative effort by the participating entities in order to describe and <br />communicate the economic benefits of the Yakima Basin Integrated Water Resource Management <br />Plan. <br />Ill. <br />The participating entities hereby agree to jointly pay for the consultant work necessary to <br />implement the scope of work (see Exhibit A) and further agree YCDA will act as agent for the <br />Parties collectively by performing all duties pertinent to contracting with a consultant approved by <br />the Parties. To that end, the YCDA will be the contracting agency with the consultant. If any <br />partner is unable to reach its goal and collectively we are unable to meet the full contract obligation <br />for the Economic Study with ECONorthwest, the contract may end (suspended) until further funds <br />are acquired by other interested parties. <br />IV. <br />The scope of work for the consultant contract shall substantially reflect the scope of work <br />included in Exhibit A attached hereto and incorporated herein by reference. In selecting the <br />preferred consultant and carrying out its duties under this agreement, the YCDA shall be guided by <br />the collective advice of the participating jurisdictions. <br />V. <br />The YCDA shall invoice participating entities for consultant services rendered in accordance <br />with the funding allocation as outlined in Exhibit B, attached hereto and incorporated by reference. <br />Payment of consultant work shall not exceed the total set forth in Exhibit B, and shall not include <br />charges other than the consultant contract work unless specifically authorized by the participating <br />entities. Participating entities shall remit payment to YCDA within 30 days of receipt of YCDA <br />invoice. <br />Memorandum of Agreement -Page 1
