the Cou nty against any demand to pay taxes arising f rom the Contractor's failure to pay <br />taxes on co mpensation earned pursuant to this Agreem ent. <br />The County will pay sales and use taxes imposed on goods or services acquired by the <br />County hereunder as required by law. The Con tractor must pay-all other taxes Inc lud ing, <br />but not limited to: Business and Occupati on Tax, ta xes based on the Contractor's gross or <br />net income? or personal property to whic h t he Cou nty does not hold title. T he Cou nty is <br />exempt from Federal Excise Tax. <br />10. Regu lations a nd Requirement: <br />This Agreement shall be subject to a" laws, rules and regulations of the United States of <br />America , and State of Washin gton, and poli tical su bdivisions of the State of Washington, <br />and to a ny other provisions set fort h here in o r in the attached Attachme hts. <br />11. Right to Review : <br />This contract is subj ect to revi ew by any Federal or State auditor. The County or its <br />desig nee shall hav e the rig ht to review and mo nito r the financial and service compone nts <br />of this program by whatever means are de emed expedient by the Count y. Such revi ew <br />ma y oc cur with or without noti.ce, and may Include, but is no t li mited to, on -site ins pecti on <br />by Cou nty age nts or employees, inspection of a" rec ords or other mate rial s wh ich the <br />County de ems pertinent to the Agreement and its performance, and any and all <br />communica tions with or evalu ation by se rvice recipients under this Ag reement. The <br />Co ntractor shall preserve and maintain a" financial records and records relating to the <br />perfor mance of work und er th is Ag reement fo r 6 years after contract termination, and shall <br />make them availab le for such rev iew, within Kittitas County, State of Washington, upon <br />request. <br />12. Mod ificat ions : <br />12 .1 Either party may request changes in the Ag reement. Any and a" agreed <br />modifications shall be in writing, signed by each of the parties. <br />12.2 The County may, at any time, by written notice thereof to Contractor <br />("Change Notice") makes cha nges in the Work w ithin the genera l scope of <br />this Agreement, including, but not limited to: (a) chan ge s in, revisio ns to, <br />substitutions for, additions to or deleti ons of any Work; (b) changes in <br />schedule; and (c) acceleration , dece leration or suspension of performa nce <br />of any Work. <br />12.3 If any change in the Work causes an increase or decrease on Contractor's <br />cost of, or th e time requ ired for , performance of the Work, an equitable <br />adjustment in the compensati on to Contractor and in the schedule for the <br />perform ance of the Work sh all be made to reflect such an increase or <br />decrease . <br />12.4 Notwithstanding any dispute or delay in arrivi ng at a mutu all y acceptable <br />equitable adjustment, Contra ctor shall proceed in accorda nce with all <br />Change Notices.
