hereof shall in no way be construed to be a waiver of such provisions, nor in any way the val idity of this <br />Contract or any part hereof, or the right of the County to hereafter enforce each and every such provision. <br />RELA TIONSHIP OF THE PARTIES: The Parties intend that an independent contractor relationship <br />will be created by this Contract. The County is interested in only the results to be achieved and the conduct <br />and control of all services will be solely with the Contractor. No agent, employee, servant or otherwise of <br />the Contractor shall be deemed to be an employee, agent, servant, or otherwise of the County for any <br />purpose, and the employees of the Contractor are not entitled to any of the benefits that the County <br />provides to County employees. The Contractor will be solely and entirely responsible for its acts and the <br />acts of its agents, employees, servants, subcontractors or otherwise, during the performance ofthis <br />Contract. <br />TERMINATION: The County reserves the right to terminate this Contract upon seven (7) days' written <br />notice in the event the Contractor breaches any of its obligations set forth herein or commits any act which, <br />in the sole judgment of the County, jeopardizes the public's confidence in the services being rendered by <br />the Contractor. <br />Provided, further, either party reserves the right to terminate this Contract for any reason upon thirty (30) <br />days' written notice. In the event of termination through no fault of the Contractor, the County agrees to <br />pay the Contractor for all services performed to the date of termination. Termination of this Agreement by <br />the County at any time during the term, whether for default or convenience, shall not constitute a breach of <br />contract by the County. VENUE STIPULATION: This Contract has and shall be construed as having been <br />made and delivered in the State of Washington, and the laws of the State of Washington shall be applicable <br />to its construction and enforcement. Any action at law, suit in equity or judicial proceeding for the <br />enforcement of this Contract or any provision hereto shall be instituted only in the courts of Kittitas <br />County. <br />COMPLIANCE WITH LAWS: The Parties hereto specifically agree to observe all federal, state and <br />local laws, ordinances and regulations to the extent that they may have any bearing on their responsibilities <br />under the terms of this Contract. <br />ASSIGNMENT: This Contract is one for personal services, and accordingly, the Contractor may not <br />assign or transfer, in whole or in part, its interest in this Contract without the express written consent of the <br />County. <br />NON-DISCRIMINATION: The parties hereto specifically agree that no person shall, on the grounds of <br />race, creed, color, sex or national origin, be excluded from full employment rights and participation in, or <br />be denied the benefits of, or be otherwise subject to discrimination under any program, service or activity, <br />for which the Contractor has received or will receive payment under the provisions of this Contract. <br />BACKGROUND CHECKS: The Contractor shall perform background checks on all of its employees <br />providing services under this Contract as mandated under RCW 43.43.832(4). The Contractor shall <br />provide to the County proof that this has been completed prior to any services being provided to the <br />County. By execution of this contract, Contractor affirms that Contractor, employees, subcontractors, <br />and/or volunteers, who mayor will have regular access, have not been convicted of any of the following: <br />l. Any felony sex offense as defmed in 9.94A.030 RCW (Sentencing Reform Act-Defmitions) <br />and 9A.44.130 RCW (Sex Offenses); or <br />2. Any crime specified in Chapter 9A.44 RCW (Sex Offenses) when the victim was ajuvenile in <br />the custody of or under the jurisdiction ofthe County; or <br />3. Any violent offense as defmed in 9.94A.030 RCW (Sentencing Reform Act-Defmitions). <br />Contractor must require current employees and volunteers who are authorized for regular access to a <br />juvenile(s) report any guilty plea or conviction of any of the above offenses. The report must be made to <br />the person's supervisor within seven (7) days of the conviction and any person who have reported a guilty <br />plea or conviction for one or more of these offenses must not have regular access to any offender.
