B. MISCELLANEOUS PROVISIONS <br />1. Company will not make any additional payment for facility or professional services based upon a <br />rural health care designation under the Medicare program, including any designation such as a <br />Critical Access Hospital (CAH), Physician Scarcity Area (PSA) or any other designation, unless <br />the resulting payment is agreed to by Company in advance and in writing. <br />2. Provider agrees to look solely to Company for compensation for Covered Services provided to <br />Members. Provider agrees to collect directly from Member any outpatient co -payment which may <br />be established from time to time by Company for each office call and for each home visit. The co- <br />payment shall be a credit against the amount due from Company for Covered Services rendered <br />to a Member, without regard to whether the Provider has actually collected any co -payment. <br />3. For purposes of prompt payment of claims under this MA Addendum only, claims for Covered <br />Services provided to MA Members under this Addendum shall not be subject to any late fees, <br />interest, or other penalties as established by the Agreement or by state law. See 42 CFR § <br />422.520(b). <br />4. Consistent with all other MA Member Agreements offered by Company, Company will follow <br />CMS's standards in determining Medical Necessity, including, without limitation, Medicare's <br />national coverage decisions (NCDs) and applicable local medical review policies (LMRPs). <br />5. This Addendum shall continue, unless terminated according to the process set forth in the <br />Agreement. Either party may terminate this Addendum without terminating the remainder of the <br />Agreement. However, in the event either party terminates the Agreement, this Addendum terminates <br />as well. <br />Any term not defined herein shall have the meaning set forth in the Agreement. The terms of this <br />Addendum shall become a part of, and shall be specifically incorporated into, the terms of the <br />Agreement. In the event of any conflict or inconsistency between the terms of this Addendum and the <br />terms of the Agreement, the terms of this Addendum shall apply.
