BADGER METER <br />Badger Meter BEACON AMA MANAGED SOLUTION <br />• MASTER AGREEMENT <br />make an effective award or to avoid a genuine and substantial risk of injury that <br />cannot be adequately remedied by an eventual arbitral award. Neither the pursuit <br />of nor the failure to provide any such interlocutory or provisional remedy in court, <br />however, shall relieve either party of the duty to pursue ultimate resolution of the <br />dispute through arbitration as provided for herein. <br />• The arbitration shall be governed by and construed and interpreted in accordance <br />with the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. <br />(24) INJUNCTIVE RELIEF: Notwithstanding the provisions of Section 23, Badger Meter shall have <br />the right to pursue injunctive, declaratory or other relief by the state and federal courts sitting in <br />Washington State and waive any objection that they would otherwise have to venue in such courts. <br />(25) NOTICES. All notices shall be in writing and delivered to the other party by means of: (a) <br />personal delivery set forth below; (b) posting a notice on Badger Meter's Portal; (c) courier (signature <br />required upon delivery); (d) recognized overnight courier, at the following address; (e) fax with proof <br />of delivery; or (f) via electronic mail with proof of delivery: Notices sent by email will be effective <br />when sent and notices posted on Badger Meter's Portal will be effective upon posting. All notices <br />must be provided in the English language. <br />If to Badger Meter: <br />Legal Department, Attn: Assistant General Counsel <br />4545 W. Brown Deer Road. <br />Milwaukee, WI 53223 <br />If to Customer: <br />Kittitas County <br />205 W 5th Ave <br />Ellensburg, WA 98926-2887 <br />(26) SURVIVABILITY. Any provision of this Agreement which by its nature should survive <br />termination or expiration of this Agreement shall survive its expiration or termination. <br />(27) LIMITATION OF CLAIMS. No action arising under or in connection with this Agreement, <br />regardless of the form, may be brought by Customer more than one (1) year after Customer becomes <br />aware of or should reasonably have become aware of the occurrence of events giving rise to the <br />Claim. <br />(28) FORCE MAJEURE. Neither party shall be liable to the other or any third party by reason of any <br />failure or delay of its obligations under this Agreement where the delay or failure results from any <br />cause beyond its reasonable control, including, but not limited to, acts of God, fires, storms, floods or <br />other acts of nature, explosions, systemic electrical telecommunications or other utility failures, <br />©2015 Badger Meter, Inc.
