13) Notices. The parties designate the individuals identified below as the project contacts for <br />the respective parties. The parties further agree that all notices which may be required by <br />this agreement shall be effect when received by certified sent to the following addresses: <br />For the County: <br />Erin Moore <br />Environmental Health Specialist <br />Kittitas County Public Health Department <br />507 N Nanum St Suite 102 <br />Ellensburg, WA 98926 <br />For GenPac: <br />Lori Bryson <br />Outside Sales Representative <br />General Pacific, Inc. <br />P.O. Box 70 <br />Fairview, OR 97024 <br />14) Legal Compliance. The parties certifies that in performing this agreement they will <br />comply with all applicable provisions of federal, state and local laws, regulations, rules, <br />and orders. <br />15) Debarment Certification. GenPac certifies that it: <br />a. Is not presently debarred, suspended, proposed for debarment, declared ineligible or <br />voluntarily excluded from covered transactions by any Federal department or agency. <br />b. Has not within a three-year period preceding the execution of this contract with Kittitas <br />County, been convicted of or had a civil judgment rendered against them for <br />commission of fraud or a criminal offense in connection with obtaining, attempting to <br />obtain, or performing a public or private agreement or transaction, violation of Federal <br />or State antitrust statutes or commission of embezzlement, theft, forgery, bribery, <br />falsification or destruction of records, making false statements, tax evasion, receiving <br />stolen property, making false claims, or obstruction of justice. <br />c. Is not presently indicted for or otherwise criminally or civilly charged by a <br />governmental entity (Federal, State, or local) with commission of any of the offenses <br />enumerated in Subsection b. of this section. <br />d. Has not within a three-year period preceding the preceding the execution of this <br />contract with Kittitas County had one or more public transactions (Federal, State, or <br />local) terminated for cause of default. <br />16) Severability. In the event any provision of this agreement is found unenforceable, the <br />remaining provisions shall nevertheless be enforceable and shall be carried into effect. <br />17) Entire Agreement. This agreement shall constitute the entire understanding between the <br />County and GenPac and shall supersede all prior understandings and agreements relating to <br />the subject matter hereof and may be amended only by written agreement of the parties. <br />Agreement for Purchase - Page 3 of 5 <br />
