Upon execution of the Contract, and during the remaining term of this Contract, Contractor <br />shall maintain in full force and effect, the insurance described in this section. Contractor shall <br />acquire such insurance from an insurance carrier or carriers licensed to conduct business in <br />the state of Washington and having a rating of A-, Class VII or better, in the most recently <br />published edition of Best's Reports. In the event of cancellation, non -renewal, revocation or <br />other termination of any insurance coverage required by this Contract, Contractor shall <br />provide written notice of such to HBE within one Business Day of Contractor's receipt of such <br />notice. Failure to buy and maintain the required insurance may result in this Contract's <br />termination. <br />19.2. The minimum acceptable limits shall be as indicated below for each of the following <br />categories: <br />a. Commercial General Liability covering the risks of bodily injury (including death), <br />property damage and personal injury, including coverage for contractual liability, with a <br />limit of not less than $1 million per occurrence/$2 million general aggregate; <br />b. Employers Liability insurance covering the risks of Contractor's employees' bodily injury <br />by accident or disease with limits of not less than $1 million per accident for bodily <br />injury by accident and $1 million per employee for bodily injury by disease; <br />c. Umbrella policy providing excess limits over the primary policies in an amount not less <br />than $3 million; <br />d. Professional Liability Errors and Omissions, with a deductible not to exceed $25,000, and <br />coverage of not less than $2 million per occurrence/$4 million general aggregate; and <br />Crime Coverage with a deductible not to exceed $1 million, and coverage of not less <br />than $5 million single limit per occurrence and $10 million in the aggregate, which shall <br />at a minimum cover occurrences falling in the following categories: Computer Fraud; <br />Forgery; Money and Securities; and Employee Dishonesty. <br />19.3. Premiums on all insurance policies shall be paid by Contractor or its Subcontractors. Such <br />insurance policies shall name HBE as an additional insured on all general liability and umbrella <br />policies. <br />19.4. Contractor's insurance policies shall not be canceled or nonrenewed in scope of coverage <br />without provision for equivalent substitute insurance. Contractor's insurance policies shall <br />not be reduced in scope without HBE's prior written consent. <br />19.5. Contractor agrees to waive all rights of subrogation against HBE for losses arising from <br />services performed by Contractor under this Contract. <br />19.6. All insurance provided by Contractor shall be primary as to any other insurance or self- <br />insurance programs afforded to or maintained by the HBE and shall include a severability of <br />interests (cross -liability) provision. <br />19.7. Contractor shall include all Subcontractors as insured under all required insurance policies, or <br />shall furnish separate certificates of insurance and endorsements for each Subcontractor. <br />Subcontractor(s) shall comply fully with all insurance requirements stated herein. Failure of <br />Subcontractor(s) to comply with insurance requirements does not limit Contractor's liability <br />or responsibility. <br />19.8. Contractor shall furnish to HBE copies of certificates of all required insurance within 30 <br />calendar days of this Contract's Effective Date, and copies of renewal certificates of all <br />HBE-349 YNHS Exhibit A — General Terms and Conditions Page 9 of 41 <br />
