PROFESSIONALSERVICESAGREEMENTThisAgreementdatedasof6O5~,2015,ismadebyandbetweenKittitasCounty(hereinafter"theCounty")andBERK(hereinafter"Consultant").TheCountyandConsultantagreeasfollows:GeneralConditionsExhibitA(ScopeofWork)ExhibitB(Compensation)ExhibitC(ProofofInsurance)Copiesofwhichareattachedheretoandincorporatedhereinbythisreferenceasfullyasifsetfodhherein.ThetermofthisAgreementshallcommenceonthedayof,2015,andcontinueuntilJune30,2017.AnypartymayterminatethisAgreementbygivingthirty(30)daysnoticeinwritingeitherpersonallydeliveredormailedpostage-prepaidbycertifiedmail,returnreceiptrequested,totheparty'slastknownaddressforthepurposesofgivingnoticeunderthisparagraph.ConsultantacknowledgesandbysigningthisAgreementagreesthattheIndemnificationprovisionssetforthinParagraphs7(IndependentContractor),9(Taxes),15(DefenseandIndemnityAgreement),21(Patent/CopyrightInfringement)and24(Confidentiality),aretotallyandfullypartofthisAgreementandhavebeenmutuallynegotiatedbytheparties.ÏÏECEIVEDProfessionalSenricesAgreementPage1SEP302015KlTTITASCOUNTyCDS,
