NOW, THEREFORE BE IT RESOLVED: The Board of County Commissioners authorizes the amendment, as attached hereto, of the Airport Advisory Committee's bylaws. ARTICLE 1 - Authorization 1..7 The KITTITAS COUNTY AIRPORT ADVISORY COMMITTEE, (AAC) is established by the Kittitas County Board of County Commissioners (BOCC) by Resolution2020- 229.The Airport Advisory Committee Charter, adopted by the BOCC on December 75,2020, establishes the purpose and duties of the AAC. The purpose and responsibilities of the AAC are outlined in the Charter. 1..2 Kittitas County will defend and indemnify Committee members as provided forin Kittitas County Code Chapter 2.73. ARTICLE 2 - Purpose (See Charter) 2.1 The purpose of the Airport Advisory Committee shall be to advise and inform the Airport Director and staff on matters pertaining to the development of the aeronautical, industrial, and agricultural areas at Bowers Field (Airport). 2.2 See Charter for areas of review ARTICLE 3 - Membership 3.1 The makeup of the Airport Advisory Committee shall be seven (7) members which may include representatives from the County, the City of Ellensburg, those with an interest in economic development, agricultural or hanger lessee, pilot representative, airport/business park tenants, or anyone with experience that could be deemed useful for airport/business park growth. 3.2 Member Terms 3.2.1 Member terms shall be for 3 years. 3.2.2 Al the end of each member's term, all interested individuals will be considered for membership. lf a member would like to be considered for reappointment, they shall submit a request in writing to the BOCCoffice. 3.2.3 Members will be selected based on the process established by Kittitas County Handbook for Board, Committee and Commission. 3.3 A vacancy is deemed to have occurred upon the following: 3.3.1 Death of a member 3.3.2 Written notification has been provided to the County Commissioners office 3.3.3 Three consecutive unexcused absences by a member 3.3.4 A member ceases to be a resident of Kittitas County and a waiver has not been granted by the BOCC 3.3.5 Any member may be removed upon a vote of not less than two members of the BOCC for any reasonable cause as determined. 3.3.6 A member may resign from the committee by giving written notice tothe Chair. 3.4 The BOCC shall make appointments to fill out the term of any vacated position Airport Advisory Com m ittee Bylaws 9 / 1.5 / 2O2OI Page 1 according to established County process and mindfulof maintaining a mix of representation, experience and skills outlined in 2.1- 3.5 A member may request a leave of absence for up to 90 days in writing and willbe considered by the BOCC, preferably prior to the absence, 3.6 lf a member fails to meet the expectations in Kittitas County Board, Committeeand Commission Member Handbook they may be removed from the Committee by the BOCC. 3.7 Each member shall participate in required County training. 3.8 Kittitas County will defend and indemnify Committee members as provided for in Kittitas County Code Chapter 2.73. ARTICLE 4 - Meetings 4.1 The Committee will meet once a month on the second Wednesday of the month unless the Chair and Airport Director agree that there is no need. ln no event willthe AAC meet less than once every three months. 4.2 Special meetings may be called by the Board of County Commissioners, theAirport Director, or the Chair of the Committee. 4.3 Time sensitive issues requiring a special meeting, refer to "AAC Member Procedures" 4.4 All meetings of the Committee shall be open to the public. Members of the public will be allowed 3 minutes to comment on agenda items. 4.5 The meeting agenda shall include a public comment period of 3 minutes per person for non-agenda discussions. The Committee may place an issue raised during public comment on a future agenda but shall not take action on any issue not on the agenda. 4.6 The Airport Director or their designee shall take minutes of each meeting and present them to the Committee for review and approval at the following meeting. 4.7 A record of all meetings, shall be kept bythe Airport Department. The recordsshall be retained according to the public records retention schedule, 4.8 All meetings will be conducted under Roberts Rules of Order. 4.9 Virtual meetings may be approved by the committee subject to guidelinesand requirements of Kittitas County and BOCC, 4.1-0 Each AAC meeting shall have regular agenda topics comprising the following: o Approval of the minutes r Old / New Business o Aeronautical Operations Subcommittee report o Economic Development Subcommittee report o Director's report (informational items only) r Public Comment ARTICLE 5 - Notice of Meetings 5.1 A public notice of all Committee meetings stating the place, day and hour shall be Airport Advisory Committee Bylaws 9/15/2020L Page 2 given at least seventy-two hours before such meeting and be posted at the location of the meeting and on-line at the Kittitas Countywebsite. 5.2 Complete agendas and minutes of the previous meeting will be provided toeach committee member at least 5 business days prior to commencing the meeting along with all relevant documents necessary to make informed decisions on agenda items. ARTICLE 6 - Quorum at Meetings 5.1 A simple majority of filled positions at a meeting shall constitute a quorum except for amendments to the By-laws. ARTICLE 7 - Voting 7.1 Atall meetings of the Committee, each member shall be entitled to one vote if present. Proxy voting is not allowed. As a member of the Committee, the chairshall have his/her vote recorded in all deliberations of the Committee. 7 .2 The Director of Airport Operations or Airport Staff shall attend all AirportAdvisory Committee meetings but shall not have a vote. 7.3 AAC recommendations on issues presented to the BOCC by staff shall be incorporated into formal staff reports and include the motion presented, vote results and any supporting comments or relevant findings for clarification. 7.4 Any member who, by participating in discussion or voting on decisions beforethe Committee, could give the appearance to the general public of a Conflict of lnterest must abstain from participating in discussion and voting. ARTICLE 8 - Officers 8.1 The Committee will elect a Committee Chair and Vice-Chair from theAAC membership at the January meeting of each year, 82 The Committee Chair, when present, shall preside at all Committee meetings. ln the absence of the Committee Chair, the Committee Vice-Chair will preside and conduct Committee business. 83 The Chair shall set the Committee meeting agendas in mutual agreement with the Airport Director. A standing meeting between airport staff and the AAC chair and vice chair shall be set for the week prior to the regular AAC meeting. The purpose of this meeting shall be to set the monthly AAC agenda topics and identify new business items as well as provide updates on old business items. Both new and old business itemsshall be listed on the AAC agenda. ARTICLE 9 Subcommittees 9.L The AAC may, from time to time, establish subcommittees or ad hoc committees, define their powers and duties, duration, and appoint their members. 9.2 Members of the public may be appointed to a subcommittee to provide diverse opinion and input by approval of the AAC. 9.3 The subcommittee Chair and Vice-Chair shall be a regular member of the AAC. The Airport Advisory Com m ittee Byl aws 9 / 1.5 / 202A1" Page 3 AAC Chair and Vice Chair will not chair a subcommittee 9.4 Standing subcommittees shall include: o Economic Development o AeronauticalOperations ARTICLE 10 - Amending the Bylaws 10.1 The Bylaws may be amended by a favorable vote of at least 2/3 of the appointed Committee members. 10.2 Proposed Amendments to Bylaws will be reviewed in January and adoptedin February and, if adopted, forwarded to the BOCC.
